TO: Skills4Good / Building Breakthrough Boards Corp. (“Skills4Good / B3 Canada")

AND TO: The Directors and Officers of Skills4Good / B3 Canada

In consideration of our organization’s participation in Skills4Good / B3 Canada’s Board and/or Board Committee Matchmaking Programs (the “Programs”) and for other good and valuable consideration, the receipt and sufficiency whereof is hereby acknowledged by our organization, our organization hereby:

1. Agrees to participate in the Programs and abide by all of the terms and conditions of the Programs, including without limitation, the obligations of our organization to:

(a) Keep confidential and not disclose to any third party, the resumé, the personal profile or information of any individual provided to our organization under the Programs subject to subsection (b

(b) Only use and disclose to our organization's board directors and employees, the resumé, the personal profile or information of any individual provided to our organization under the Programs for the purposes of the Programs;

(c) Only contact individuals provided to our organization under the Programs for the purposes of the Programs; and

(d) Maintain directors and officers’ liability insurance with a reputable insurance company.

2. Agrees that our organization is solely responsible for making its own investigation, review and decision in respect of the individuals referred to our organization under the Programs, particularly if such individuals become officers, directors, employees or volunteers of our organization;

3. Releases and discharges each of you and your respective successors and assigns from and against any and all claims or loss which our organization may have or could have against you and your respective successors and assigns arising out of or related to the Programs, including without limitation, arising out of or related to the collection, use and/or disclosure of personal information provided by our organization to you, and the acts or omissions of any individuals referred to our organization under the Programs; and

4. Indemnifies and saves harmless you, your directors, officers, board of advisors, members, employees, agents, successors and assigns from and against any and all claims or loss which you, your directors, officers, officers, board of advisors, employees, agents, successors and assigns may suffer or incur arising out of or related to our organization’s participation in the Programs, including, without limitation, arising out of or related to the collection, use and/or disclosure of personal information provided by our organization to you, and the acts or omissions of any individuals referred to our organization under the Programs.

5. Indemnifies and saves harmless you, your directors, officers, board of advisors, members, employees, agents, successors and assigns from and against any and all claims, demands, actions, causes of action, losses, expenses, cost of damages, and liabilities of every nature and kind whatsoever which you, your directors, officers, board of advisors, members, employees, agents, successors and assigns may suffer or incur as a result of, in respect of, or arising out of any act, omission, negligence or other tortious act of our organization's board of directors, employees, or any other person directly or indirectly associated with our organization in relation to this Programs, including without limitation, arising out of or related to the completeness, accuracy, relevancy and timeliness of all the information we provide you. These include without limitation that we warrant and certify that we maintain valid and sufficient directors and officers’ liability insurance with a reputable insurance company.

6. Certifies that the representative of our organization that provides its consent and agreement to this Agreement, Release and Indemnity electronic form is legally and fully authorized to bind the organization to all the statement contained herein.
